Asset Sale vs Stock Sale in Arizona

Eddy Roche, Associate Broker · AZ license BR579487000 · HUB AZ / Sunbelt Arizona

Most Main Street deals I see are asset sales. Stock sales happen, but liquor licenses, leases, and liability often drive the structure. This is how I explain the fork before anyone falls in love with the wrong term sheet.

Asset sale in plain English

In an asset sale, the buyer purchases agreed pieces of the business. Equipment. Inventory. Goodwill. The right to operate. They do not buy your whole legal entity.

Liabilities that are not assumed stay with you unless the contract says otherwise. That is the point of the structure for a lot of buyers. They want the operation and a clean transfer path. They do not want last year's dispute sitting in the entity.

I write the asset list early. If it is not on the list, it is not in the deal. How I run the rest of a listing is on Sell My Business.

Stock sale in plain English

A stock sale is a purchase of the ownership interests. The company stays the company. Contracts, history, and many of the liabilities stay inside the entity.

That can be simpler operationally. The lease may already sit with the company. Vendor accounts may not need a fresh application. Diligence is heavier because the buyer is stepping into the history, not just the assets.

I do not assume stock because someone used the word "shares" on a first call. Structure is negotiated. I surface the operational issues so the term sheet matches the file.

Why F&B leans asset

Restaurants and bars are usually asset files on my desk. The buyer wants the equipment, the inventory, and a path to the liquor license. They rarely want the entity's old tax file or a vendor fight from three years back.

Manufacturing and fabrication shops usually go the same way, because the buyer wants the machines, the material, and the customer list without the entity's history. How equipment, liens, and the building play into that is on sell my manufacturing business Arizona.

On many F&B files the license moves with an asset deal path. Series 12 restaurant licenses and Series 6 or 7 bar licenses transfer through the Arizona Department of Liquor Licenses and Control. The buyer applies. You cooperate. I am a broker, not a liquor attorney.

More on those files is on Sell my restaurant in Arizona and Sell a liquor-licensed business in Arizona.

Lease and license follow the structure

The lease and the license have to follow the structure you pick. In an asset sale the landlord is usually asked to assign the pad to the buyer. In a stock sale the entity may already be the tenant. That is not automatic consent. Read the assignment language.

The license follows the same logic. DLLC transfer rules sit with the department and the deal papers. I map the lease and the license together before anyone signs a term sheet that cannot close.

Taxes are counsel's lane

I will not quote a tax rate on this page. I will not promise a savings number. Asset versus stock changes tax outcomes for both sides. That is counsel's lane.

This page is general education. Buyer and seller each need their own CPA or attorney before they lock a structure for tax or legal reasons. I help surface the operational and transfer issues so the term sheet matches reality.

The worksheet that starts that conversation is Value My Business.

Send the basics. I look at the lease, the license, and the entity and tell you which fork I would map first. No tax promise. No obligation to list.

Across Arizona

I work across Arizona. Restaurants, bars, service businesses, and contractors. I set structure on the file in front of us, not on a slogan.

Frequently Asked Questions

What is an asset sale?

The buyer purchases agreed assets of the business — often equipment, inventory, goodwill, and the right to operate — not the seller’s whole legal entity. Liabilities that are not assumed stay with the seller unless the contract says otherwise.

What is a stock sale?

The buyer purchases the ownership interests in the company. The entity keeps its contracts and history, including many of its liabilities. That can be simpler operationally and riskier on diligence.

Which structure is more common on Arizona Main Street deals?

Asset sales are common on the restaurant, bar, service, and contractor files I work. Stock sales still happen when both sides want the entity intact. Structure is negotiated, not assumed.

How do liquor licenses affect the choice?

License transfer rules sit with the Arizona Department of Liquor Licenses and Control and the deal papers. On many F&B files the license moves with an asset deal path. I map that early with the lease — I am a broker, not a liquor attorney.

Who decides asset vs stock?

Buyer, seller, and their counsel. I help surface the operational and transfer issues so the term sheet matches reality. Tax outcomes need a CPA or attorney.
