Sell My Roofing Business in Arizona: the full guide

Eddy Roche, Associate Broker, HUB AZ Brokers

What buyers pay for in roofing

A roofing buyer is not paying for the wrap on the trucks. They are buying cash flow that still exists after you leave: a maintenance book that assigns, a crew that can run the week, and the trucks that keep those jobs moving.

A storm-chase install shop is a job with weather risk. A company with written maintenance and repair agreements and a lead who is not you is a file I can market. Equipment is part of the package. It is not the package.

I start with Seller's Discretionary Earnings. Then I look at recurring maintenance versus new-install and storm work, warranty exposure, weather seasonality, and how much the company still needs you on the roof. Under $500,000, a business sells for about 2 times a year of owner earnings (SDE), by the IBBA's closed deals. Your file sets where you land in that range.

How I rebuild the cash-flow side of that conversation is on how Arizona business valuation works. What belongs in SDE is on add-backs and SDE in Arizona.

Recurring maintenance vs storm-chase installs

Recurring service that assigns is worth more than a storm-only pipeline with no follow-up book. Written maintenance and repair agreements are one of the first diligence asks. One-off bids in the owner's head are weaker than terms a buyer can underwrite.

Install-heavy shops still sell. The mix has to be honest. Arizona monsoon and hail years make storm work busy. A winter that is all warranty callbacks and no book is a different story. Warranty risk stays on the file. I will not flatten that into a slogan.

Generic trades: licenses, WIP, bonding: live on the contractor page. That broader frame is selling a contractor business. HVAC files sit on selling an HVAC business. Plumbing files sit on selling a plumbing business. Outdoor-service routes sit on selling a landscaping business. Service shops without a ROC file are on selling a service business.

Warranty, seasonality, and the ROC qualifier

If you are still on every roof, the buyer is buying your calendar. That discounts the price and scares financed buyers. A crew that can run the week without you protects value. Weather seasonality and open warranties change what a financed buyer will underwrite.

We map the license, the qualifying party, and the bonds before we market. Arizona ROC and trade rules often do not transfer the qualifier with the sale. That is not a promise I can write into a purchase agreement. I am a broker, not the registrar. This page is broker education, not ROC or legal advice.

How owner-dependency shows up on price is on how owner dependency affects price. Getting the file ready before we spend time on tire-kickers is on preparing a business for sale.

Confidential marketing

Word that a roofing company is for sale travels. Crews talk. Competitors call your accounts. I do not put your company name or street on a public teaser.

Marketing starts without identity. Buyers sign an NDA before they get the name. Staff and customers learn on a planned timeline.

The quiet-marketing path is on how a confidential sale works.

Valuation first

Send the last three years of returns, a maintenance-agreement list, open warranties, and who can sign as qualifier. I will tell you what I see on price, transfer, and whether the file is ready. No listing appointment required. No invented multiple.

The form that starts that conversation is Value My Business. If you are still deciding who to work with, read how to choose an Arizona business broker.
